BUSINESS TRANSACTIONS

Formation, operation, and dissolution of corporations, limited liability companies, general/limited partnerships, and nonprofit corporations. Sales and acquisitions of businesses and business interests. Complex business contracts including limited liability company operating agreements, corporate bylaws, service agreements, license agreements, indemnity agreements, non-disclosure agreements, equipment purchases and leases, joint venture agreements, stock purchase agreements, settlement agreements, and buy-sell agreements.

COMMERCIAL LEASING TRANSACTIONS

Represent commercial landlords and tenants in all aspects of commercial lease negotiations, drafting, review, and implementation, from the letter of intent, conducting due diligence, coordinating financing, during construction, and throughout the lease term and option terms. Draft covenants, conditions and restrictions (CC&Rs), rules and regulations, memorandums of lease, guaranty agreements, assignment and sublease agreements, option agreements, estoppel certificates, letters of credit, vendor agreements, and specialized/unique agreements including, for example, agriculture and cannabis cultivation leases.

REAL ESTATE
TRANSACTIONS

Purchase and sale of commercial properties including unique transactions involving historically designated properties and agricultural land. Draft all forms of transfer deeds, deeds of trust, finance transaction documentation, easement agreements, license agreements, subordination agreements, non-disturbance and attornment agreements, and sale leaseback agreements. Conduct title and other due diligence reviews (including land use and environmental issues). Specialize in representing clients in California property tax exemption matters.

EMPLOYMENT LAW ADVISING AND REPRESENTATION

Advise employers on all aspects of employment law including hiring, discipline, compliance obligations, and termination issues. Represent employers before administrative agencies including the Employment Development Department, California Unemployment Insurance Appeals Board, Labor Commission (DLSE), and the Equal Employment Opportunity Commission. Draft complex employment contracts including independent contractor agreements, employment agreements, offer letters, policies and procedures, employee handbooks, consulting agreements, 'love' contracts, commission agreements, confidentiality agreements, personal service agreements, and severance agreements.

CONSTRUCTION LAW ADVISING

Counsel owners, general contractors, and subcontractors on all aspects of private works construction law, including mechanics' liens, releases, stop work notices, extra work and change order issues, notices of completion, bonding matters, and subcontracting issues. Negotiate and draft prime and subcontractor construction contracts including lump-sum, cost-plus, and design-build agreements. Assist contractors with project coordination issues and serve as intermediary with project participants and consultants, suppliers, and applicable jurisdiction representatives.

HOSPITALITY LICENSING

Advise applicants and licensees on all aspects of hospitality industry law with an emphasis on alcoholic beverage license acquisition and compliance. Assist clients with unique locations, zoning compliance (including conditional use permits, entertainment permits, and minor use permits), and public convenience or necessity determinations. Represent clients in matters before the Department of Alcoholic Beverage Control and the Alcoholic Beverage Control Appeals Board.
